Yep I would concur you do not appear to have a sound card installed.

Have you checked that the sound card is seated in it's socket correctly ?  If so then

Go to control panel and run the new hardware wizard
After it has done it's thing and if it does not detect your sound card a new dialogue will open and ask if your hardware is connected answer yes.

If your device is not listed in the nex window then select add a new hardware device
On the next dialogue select install the hardware from a list that I select. Click next
On the next dialogue select sound and video controllers. Click next
Then in the next dialogue select your sound card and proceed from there.

Let me know how far you get and the results

Edit Love the use of PCWizard all the answers are there for me

i've tried reinstalling my sound card twice and both times it has interfered with my ethernet card (it's in one of the pci slots & connected to a router).  it wont let me access any webpages or do anything on the internet.  and after i install it it gives me a code 10 and says it wont start.  i also have the yellow exclamation point next to the microsoft kernel acoustic echo canceller and the microsoft kernal audio splitter.  would i be better off getting a new sound card or is there any way to fix these problems?

If you have a spare PCI slot then move the sound card to that one and try again

If it's an integrated sound card, how was it intereferring with the ethernet card?
You said earlier that it was installed in a PCI slot.

my intergrated sound is soundmax.  i've tried uploading the motherboard drivers as well as soundmax, it says driver not found after the soundmax install.

Maybe it's time to consider buying a soundcard and disabling the on-board one.

OK, you've installed a new sound card. Things to check:

1. Did you install the drivers for it?
(You may also need to disable the on board sound in BIOS)

2. Is it listed in Device Manager?
While in Device Manager, right-click on the device (assuming it's listed) and look at Properties. It should report that the device is working and it should also be enabled in 'Device Usage' on the General tab.

3. Go to Control Panel, Sounds and Audio Devices. Clcik on Audio tab.

4. Check that your sound card is showing as the default device for sound playback.

5. Click on Advanced button and check that speakers are set to desk top or whatever is appropriate to your setup.

6. Click on Volume button, make sure nothing is muted.

how do you disable the on board sound in BIOS?  i've tried doing it, but i havent seen anything relating to sound.  in the device manager the only thing not working properly is the microsoft kernel acoustic echo canceller.

Try removing and reinstalling the soundcard drivers.

If that deosn't solve it, check the manufacturers web site for updated drivers.
